Terms of Service

These Terms of Service (“Terms,” “Agreement”) govern your access to and use of all software, applications, autonomous unmanned aerial systems (UAS), computer vision analytics, digital twin modeling engines, and consultation services (collectively, the “Services”) provided by OPAAI Private Limited (“OPAAI,” “we,” “us,” or “our”), having its principal development hub at the Incubation Center, Indian Institute of Technology (IIT) Patna, Bihta, Patna, Bihar - 801106, India.

By creating an account, executing an enterprise Master Services Agreement (MSA) or Statement of Work (SOW), or utilizing any component of our platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, governmental entity, or other legal entity, you represent that you have legal authority to bind such entity.

OPAAI delivers specialized physical-to-digital infrastructure solutions including:

• Autonomous Drone Site Inspections: Certified aerial surveys capturing photogrammetry, multispectral imagery, and LiDAR point clouds.
• AI Computer Vision & Defect Classification: Automated recognition of structural cracks, roadway degradation, volumetric earthwork progress, and site safety compliance.
• 3D Digital Twins: Interactive, cloud-based spatial replicas integrating Building Information Modeling (BIM) data and real-time site progression.
• Enterprise Cloud Platform & APIs: Cloud software for team collaboration, spatial measurement, automated PDF/CAD report generation, and programmatic API access.

Specific project deliverables, flight schedules, turnaround times, and pricing are defined in individual Statements of Work (SOW) executed between OPAAI and the client.

Autonomous and piloted unmanned aerial operations conducted by OPAAI are governed by the Drone Rules, 2021 enacted by the Ministry of Civil Aviation (MoCA) and the Directorate General of Civil Aviation (DGCA) of India:

OPAAI pilots-in-command retain absolute discretion to delay or abort flight missions due to adverse weather (precipitation, wind speeds exceeding manufacturer tolerances), active airspace conflicts, or sudden ground safety hazards.

We establish unambiguous, fair intellectual property boundaries between client assets and OPAAI proprietary technologies:

When utilizing OPAAI software and APIs, you agree that you will not:

• Reverse engineer, decompile, disassemble, or derive source code from our software or neural models.
• Bypass or attempt to defeat authentication controls, cryptographic firewalls, or tenant isolation boundaries.
• Conduct unauthorized vulnerability scans or penetration testing without explicit prior written authorization from OPAAI.
• Deploy our autonomous drones or computer vision pipelines for targeted facial surveillance, unlawful monitoring of individuals, or weapons integration.
• Transmit malicious payloads, worms, or trojans into OPAAI cloud ingestion endpoints.
• Resell, sublicense, or distribute API access to third parties without an authorized OPAAI Reseller Agreement.

OPAAI computer vision algorithms, automated crack detection models, and elevation calculations deliver state-of-the-art analytical precision. However, you acknowledge that:

OPAAI strives to maintain a minimum of 99.9% monthly availability for our web application and digital twin streaming services, excluding scheduled maintenance windows.

• Scheduled Maintenance: Conducted during low-traffic hours with a minimum of 48 hours prior email notification to enterprise administrators.
• Disaster Recovery: High-availability geo-replicated database clusters with automated recovery time objectives (RTO) under 4 hours.
• Enterprise Support: Dedicated support tiers for enterprise clients with response times governed by executed SLA agreements.

Clients agree to pay all fees specified in the applicable Order Form or Statement of Work. Unless otherwise specified in writing:

• Invoices are issued electronically and are payable within thirty (30) days from the invoice date.
• All stated fees are exclusive of applicable Indian Goods and Services Tax (GST) or international cross-border withholding taxes, which shall be added to the invoice.
• Overdue balances may accrue interest at the rate of 1.5% per month or the maximum rate permitted by Indian law, whichever is lower.

“Confidential Information” encompasses all non-public information disclosed by one party to the other, including site blueprints, BIM models, pricing schedules, neural model architectures, and proprietary algorithms.

Each party agrees to hold the other’s Confidential Information in strict confidence, applying at least the same degree of care as it uses for its own confidential data (and never less than reasonable care), and shall not disclose it to any third party except to authorized employees and certified flight contractors who need to know.

To the maximum extent permitted by applicable Indian law:

• Disclaimer of Consequential Damages: Neither party shall be liable to the other for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, construction delays, business interruption, or data loss) arising out of or related to these Terms.
• Aggregate Liability Cap: In no event shall OPAAI’s total aggregate liability arising out of or relating to this Agreement exceed the total amounts actually paid by the Client to OPAAI under the specific SOW giving rise to the claim during the twelve (12) months preceding the incident.

This Agreement and any dispute arising out of or in connection with it shall be governed by, and construed in accordance with, the laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be referred to and finally resolved by binding arbitration conducted under the provisions of the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Patna, Bihar, India. The arbitration proceedings shall be conducted in the English language before a sole arbitrator mutually appointed by both parties.

Subject to the arbitration agreement above, the competent courts located in Patna, Bihar, India shall have exclusive jurisdiction over any legal proceedings arising hereunder.
